Relay — an unofficial MacOS companion app for Supernote devices
Please read these Terms & Conditions (“Terms”) carefully before using the Relay app. They form an agreement between you and the developer of Relay. By downloading, installing, or using the app, you agree to these Terms. If you do not agree, please do not use the app.
In these Terms, “Relay”, “we”, “us” and “our” mean the independent developer of the Relay app (contactable at the address below). “You” means the person using the app. “The app” means the Relay desktop application for macOS. These Terms should be read together with our Privacy Policy.
1. About Relay, and what it is not
Relay is an independent, third-party companion app for Supernote e-ink devices (made by Ratta). It runs on your own Mac, signs in with your own Supernote account to mirror and sync your Supernote to-dos, lets you view your handwritten notes, and — when you choose — pushes your to-dos out to task apps you already use (Todoist, Apple Reminders, Google Tasks, Things 3, TickTick, and Asana).
Relay is unofficial and independent. It is not affiliated with, endorsed by, sponsored by, or officially supported by Supernote or Ratta, nor by Google, Apple, Todoist, TickTick, Asana, or Cultured Code (Things). Relay is not a Supernote product, and Supernote provides no support for it. All product names, logos, and trademarks — including “Supernote”, “Ratta”, “Todoist”, “Google”, “Apple”, “TickTick”, “Asana”, and “Things” — are the property of their respective owners, and are used only to describe compatibility. Relay works alongside the official apps; it does not replace them.
2. Licence; trial; personal use
Relay is provided for a nominal charge: a one-time licence fee, following a free trial period. There is no subscription. By purchasing a Relay licence, you agree to these Terms and to our Refund Policy.
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the app on your own Mac for your own personal use, in accordance with these Terms. You may not sell, rent, sub-licence, or commercially redistribute the app. You may not misrepresent the app as an official Supernote product or as being provided by any of the third-party services it connects to.
Refunds. Relay is a digital product with a free trial, so purchases are generally final — but not always. If your licence doesn’t work because of a defect on our side, or because Supernote changes something we can’t work around, you may be entitled to a refund. The full terms — including our promise of a refund for buyers within their first two months if we can’t fix a Supernote-caused breakage — are set out in our Refund Policy, which forms part of these Terms. Nothing in it affects your statutory rights.
3. Provided “as is” — no warranty
The app is provided “as is” and “as available”, without warranty of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.
In particular, we do not warrant or guarantee that:
- the app will be available, uninterrupted, error-free, or free of defects;
- syncing or pushing will always succeed, be timely, complete, or free of duplicates, gaps, or errors;
- the app will remain compatible with Supernote, or with any task app, if those services change;
- your data will never be lost, altered, or become inaccessible; or
- the app will continue to be developed, maintained, updated, or supported.
Relay is a personal project offered in good faith. We may change, suspend, or discontinue the app (in whole or in part) at any time, and we are under no obligation to provide support, updates, or continued development.
Nothing in these Terms affects your statutory rights as a consumer that cannot lawfully be excluded or limited.
4. Your responsibilities
Because Relay acts on your own accounts and runs on your own Mac, you are responsible for:
- Keeping your own accounts secure — your Supernote account, your Mac and macOS user account, and any task-app accounts you connect (including keeping passwords, tokens, and one-time codes confidential).
- Complying with the terms of the services you connect. Your use of Supernote, Google, Apple, Todoist, TickTick, Things, Asana, and any other connected service remains subject to their terms of service and privacy policies. You are responsible for ensuring your use of Relay with those services is permitted by them. Where relevant, you are responsible for creating and configuring any credentials those services require (for example, a Google Cloud OAuth client for Google Tasks).
- Your own data. You are responsible for maintaining your own backups of anything important. The app is a tool that helps you move and mirror your to-dos and notes; it is not a backup service.
- How you direct the app. The app acts only as you direct it — the syncs, pushes, and connections it performs are the ones you set up and trigger. You are responsible for the instructions you give it (for example, which lists push to which apps).
- Your acceptance of risk. You use the app entirely at your own risk. By downloading, installing, or using the app you accept full responsibility, and all liability, for the consequences of doing so (see section 6).
5. Third-party services
Relay connects, at your direction, to third-party services (Supernote’s cloud, and any task apps you connect). We do not operate or control these services. Your relationship with each of them is directly between you and that provider, governed by their terms and privacy policies.
We are not responsible for the availability, accuracy, security, or conduct of any third-party service, for any changes those services make to their features or interfaces (including changes that break the app), or for any action a third-party service takes in respect of your account. Trademark and brand references to those services are for identification and compatibility only.
6. Assumption of risk and limitation of liability
You use the app at your own risk.
To the fullest extent permitted by law, we will not be liable to you for any of the following, whether arising in contract, tort (including negligence), or otherwise:
- loss, corruption, or inaccessibility of your data, to-dos, notes, or files;
- sync or push errors of any kind, including tasks that are missed, duplicated, out of date, incorrectly filed, or not created;
- any issue affecting your Supernote account, task-app accounts, or the data within them;
- the app ceasing to function, in whole or in part, because a third-party service (such as Supernote, Google, Apple, Todoist, TickTick, Things, or Asana) changes, restricts, deprecates, or discontinues its API, features, or terms of service;
- any interruption, unavailability, or discontinuation of the app; or
- any indirect, incidental, special, consequential, or punitive loss, or any loss of profit, revenue, goodwill, or data.
Because the app is provided for a nominal charge, and to the fullest extent permitted by law, our total aggregate liability to you arising out of or in connection with the app or these Terms shall not exceed the amount you paid for your licence.
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so — including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
7. Indemnity
To the extent permitted by law, you agree to indemnify and hold us harmless from any reasonable claims, losses, liabilities, and expenses (including reasonable legal costs) arising out of your misuse of the app, your breach of these Terms, or your breach of the terms of any third-party service you connect through the app. This clause does not apply to matters that are our fault or that arise from our own breach of these Terms.
8. Changes to these Terms
We may update these Terms from time to time — for example, when the app gains a new feature or connects to a new service. When we do, we’ll change the effective date at the top of this page and post the updated Terms here. Your continued use of the app after an update means you accept the revised Terms. If you do not agree to a change, you should stop using the app.
9. Termination
You may stop using the app at any time. You can sign out, disconnect any connected task app, and uninstall the app whenever you wish. Doing so does not affect data held in Supernote’s cloud, on your device, or in your connected task apps, which remain governed by those services’ terms.
We may suspend or discontinue the app, in whole or in part, at any time, without liability to you. Provisions of these Terms that by their nature should survive termination — including the disclaimers, limitations of liability, and indemnity — will survive.
10. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the app (including non-contractual disputes or claims), are governed by the laws of England and Wales. You and we agree that the courts of England and Wales shall have jurisdiction, save that if you are a consumer resident elsewhere in the UK, you may also bring proceedings in your home jurisdiction. Nothing in this clause removes any consumer-protection rights that apply to you under the law of your place of residence and cannot lawfully be excluded.
11. General
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of it. These Terms are the entire agreement between you and us regarding the app.
